MAP Policy - Boeshield

Effective Date: August 18, 2026

PMS Products Inc. (“Company”), manufacturer of Boeshield T-9®, BLADE & BIT™, Rust Free™, and other Company products (collectively, the “Products”), has established this Minimum Advertised Price (“MAP”) Policy to support the long-term strength, reputation, and premium positioning of its brands while supporting Authorized Resellers who invest in product knowledge, customer service, and marketing.

1. UNILATERAL POLICY

This MAP Policy is a unilateral policy adopted by Company. It is not an agreement between Company and any Authorized Reseller, and Company does not seek or require any acknowledgment, assurance, or commitment regarding compliance with this Policy.

Each Authorized Reseller independently determines whether to participate in Company’s Authorized Reseller program and remains free to establish its own actual resale prices.

Company reserves the right to modify, suspend, or discontinue this Policy, in whole or in part, at any time.

2. ADVERTISED PRICES

This Policy applies only to advertised prices. It does not establish, control, or restrict the actual resale price at which an Authorized Reseller sells any Product.

Authorized Resellers may independently determine the prices at which Products are sold in-store, over the telephone, through private communications, or through other non-public sales interactions.

Authorized Resellers may not advertise Products through Covered Advertising at a price below the applicable MAP established by Company.

“Covered Advertising” includes, but is not limited to:

Company and reseller websites;
Online marketplaces and digital commerce platforms;
Amazon, eBay, Walmart Marketplace, and similar platforms;
Online advertisements, banners, search advertisements, and other digital advertising;
Catalogs, flyers, direct mail, newsletters, and coupons;
Print, radio, television, and other publicly distributed advertising; and
Other publicly accessible advertisements or promotional communications.

In-store displays and merchandising that are not distributed electronically or publicly advertised outside the physical retail location are not covered by this Policy.

Private customer communications that are not publicly accessible advertisements are also not covered.

3. MAP LIST

Company may publish a Minimum Advertised Price List (“MAP List”) identifying the Products subject to MAP and the applicable MAP for each Product.

Company may amend, update, or adjust the MAP List from time to time. The applicable MAP is the MAP identified in the current MAP List.

An Authorized Reseller may not publicly advertise a Product below the applicable MAP.

4. PROMOTIONS AND DISCOUNTS

Promotional activities that result in a publicly advertised effective price below the applicable MAP may constitute a violation of this Policy.

This includes, but is not limited to:

Coupons or promotional codes;
Instant rebates or promotional credits;
Marketplace discounts;
Gift cards or other incentives;
“Buy one/get one” or bundled offers where the effective advertised price falls below MAP;
Site-wide or automatic discounts that apply to the Products; and
Other promotional mechanisms intended to advertise an effective price below MAP.

The following generally do not violate this Policy when they do not reduce the publicly advertised Product price below MAP:

Free shipping;
Applicable sales-tax exemptions;
Free financing; and
Loyalty or rewards benefits associated with future purchases.

Promotions or promotional events initiated or specifically authorized by Company may be exempt from the MAP requirements applicable to the designated Products and promotional period.

Nothing in this Policy restricts the actual price at which an Authorized Reseller ultimately sells a Product.

5. MARKETPLACE SALES AND CHANNEL AUTHORIZATION

Authorization to purchase or resell Company Products does not automatically authorize a reseller to sell those Products through third-party online marketplaces.

Selling or listing Company Products on third-party marketplaces, including but not limited to Amazon, eBay, Walmart Marketplace, and similar platforms, is prohibited unless expressly authorized in writing by Company through an Authorized Marketplace Agreement or other written authorization.

Company reserves the right to determine which sales channels and marketplaces are authorized for its Products.

Marketplace authorization does not waive or modify any requirements contained in this MAP Policy or any applicable Authorized Reseller Agreement.

Company may revoke marketplace authorization if a seller violates this Policy, fails to maintain accurate product listings, misrepresents Products, fails to meet applicable brand standards, or engages in activities that negatively impact the Boeshield® brand or other Company Products.

6. PRODUCT LISTING REQUIREMENTS

Authorized Resellers are responsible for ensuring that Product listings accurately represent the Products, including their packaging, specifications, and intended use.

Product listings must include the Company-assigned part number in a prominent and accurate location, such as:

The product listing title;
The product description; or
Applicable marketplace attributes or product information fields.

Product listings may not be altered or structured in a misleading manner to circumvent Company policies or interfere with accurate Product identification.

Used, open-box, customer-returned, demonstration, or discontinued Products must be clearly and prominently identified as such when advertised below the applicable MAP.

7. MONITORING AND ENFORCEMENT

Company may monitor publicly available advertising and marketplace activity to determine compliance with this Policy.

Violations of this Policy may result in actions determined by Company in its sole discretion, including suspension or termination of Authorized Reseller status, removal of marketplace authorization, suspension of purchasing privileges, cessation of supply, or other appropriate action.

Company reserves the right to determine the appropriate response to a violation based on the nature, frequency, and severity of the circumstances.

Nothing in this Policy creates a right or entitlement to continued Authorized Reseller status, marketplace authorization, purchasing privileges, or supply.
